User Agreement

This User Agreement describes the terms and conditions which you accept by using our Website or our Services. We have incorporated by reference some linked information.

In this User Agreement:

"Account" means the account associated with your email address or mobile phone or recognised through your social media account..


"Employer" means a User that purchases Freelancer's Services or identifies a Service Employer through the Website. A User may be both an employer and a freelancer under this agreement.


"Project" means a job that is promoted by a Employer and in respect of which Freelancer can submit his bid as a fees and time frame in which he or she can complete it.


"Dispute Resolution Process" means the process to be followed by Employer and Freelancer in accordance with the Dispute Resolution Service of poundlance.com given in our website.


"poundlance.com, poundlance, poundlance freelance services, poundlance web designing services " , "we" , "our" , "company" or "the company" or "us" means poundlance.com the website owner who own this domain.


"poundlance Certified Members " Users have been satisfactorily certified after proper scrutiny of the users and are recognised as satisfactory users with previous record of jobs, reviews and qualification they hold so are satisfactorily verified by poundlance team and have been awarded CM badge..


"Inactive Account" means a User Account that has not been logged into for the last 12 months period, or any other period determined by us from time to time and in most of the cases the accounts which are not responded first when other users make contact and later even when poundlance team contacts the user and he remains silent .


" Copyrights , together with patents, trademarks and industrial property rights , are part of a group of rights called " intellectual property rights ." Copyright , in a word, is a right that allows the copyright owner to permit (license) or prohibit the use of a copyright work to a person who wishes to use it.


"Local Job" or "Local Jobs" means a service conducted locally in United Kingdom where Employer and freelancers both worked on a project locally.


"Milestone Payment" means a payment arrangements made by Employer and agreed by Freelancer and money transmitted to Freelancer's account in few installments as and when employer finds completion of some part of project and completing a part of project may be called a milestone and both parties agree to pay and receive periodically according to progress of project.


"Project" or "Listing" means a job offered or awarded to a Freelancer via the Website poundlance.com , a Project awarded by a Employer is called a service bought by an Employer from Freelancer, and service awarded by an employer to Freelancer as a result of posting a job on poundlance Website.


"Freelancer" means a User that offers and provides services is identified as Freelancer . A User may be both an Employer and Freelancer under this agreement but he needs to open separate accounts for both roles.


"Employer Listings " means all jobs listed on poundlance website by a user will be called employer.


"poundlance Services" means all services provided by us to you through our website poundlance.com.


"User" , "you" or "your" means an individual who visits or uses our Website.


"User Contract" means: (1) this User Agreement; (2) any other contractual provisions accepted by both the Employer and Freelancer uploaded to the Website, to the extent not inconsistent with the User Agreement; (3) the Project terms as awarded and accepted on the Website, to the extent not inconsistent with the User Agreement and the ; and (4) any other material incorporated by reference from time to time.


"Website" means the Websites operated by poundlance and available at: poundlance.com and any of its regional or other domains or properties, and any other related our service, tool or application, specifically including mobile web, any iOS App and any Android App, or API or other access mechanism made available in future if not now will all be part of this website and same terms will be applicable on all..


1. Overview

By accessing the Website you agree that you are over eighteen years old and you agree to the following terms of poundlance.com.

We may amend this User Agreement and any linked information from time to time by posting amended terms on this Website poundlance.com, without any prior notice to you.

The Website is an online venue where Users buy and sell Freelancer Services . Employers and Freelancers must register for an Account in order to buy or sell Freelancer Services. The Website enables Users to work together online to complete and pay for Projects, buy and sell expertise and to use the services that we provide. We are not a party to any contractual agreements between Employer and Freelancer in the online venue, we merely facilitate connections between both the parties.

We do not undertake to keep the Website updated and you can use it entirely at your own cost and risk . We are not liable to you for any loss you suffer or if any error occurs in the information on the Website or if that information is not current and has effected you because of it then we dont accept it as our negligence nor hold ourselves responsible for this.

2. Eligibility to use Poundlance


1- You will not use the Website if you dont have a valid email address.


2-All free user accounts are associated with individuals. Login credentials should not be shared by users with others. The individual associated with the account will be held responsible for all actions taken by the account, without limitation.

3- A Customer shall only be eligible for an Organisation Customer Account if at all times they are an Organisation. Company or organisation will be responsible for all actions taken on our website and you agree before you start using our website.

4-If you are under 18 but over 15 then you can still use our account with the permission of an adult at home who takes full responsibility of all actions taken by this under age child.

3. Using poundlance.com

While using the Website, you will not attempt to or otherwise do any of the following:

  1. Post spam projects with no aim .

  2. Infringe third party policies and rights or any applicable law of land .

  3. You must have enough money in your account to handle the payments of all projects you listed.

  4. Fail to pay our freelancer after service has been rendered to you.
  5. Trying to manipulate our service charges by inviting freelancer working outside our website.
  6. Post any material in project which gives an information about your contact or you are directly or indirectly trying to advertise yourself .
  7. Transfer or sell your user account to any third person is illegal and all buyers and sellers of such accounts should do it at own risk as it is illegal as far as Poundlance is concerned .

  8. No personal, racist, abusive or any other material which promotes hatred and racism including unparliamentary language is strictly prohibited .
  9. It is not allowed to collect user's data or personal details through our website
    .
  10. Use Poundlance.com to facilitate money exchange including, but not limited to, cryptocurrency (e.g. bitcoin, ethereum, etc).

4. Fees and Services

a- We charge fees for certain services for example adding a job by Employer is free but for upgrading this service to urgent or featured will cost you very low fees which is in the region of few quids only and for latest please check here the latest .We charge only 2.5% from Freelancer on completion of job . When you bid on a job and win it then, you have an opportunity to review and accept the job again and when you accept it then you will be charged a commission on your earning based on our fees structure , which we may change from time to time and will update by placing here on our Website . We may choose to temporarily change the fees for our services for promotional events (for example, discounts on credits subscription) or new services, and such changes are effective when we post a temporary promotional event or new service on the Websites, or as notified through promotional correspondence. Unless otherwise stated, all fees are quoted in Great Britain Stirling Pounds and when we send money to any other country in another currency then we will pay you as per paypal conversion from GBP to your currency of that day and you agree to accept that.

b- How Credit packages work for Freelancers.

As this website is for serious Freelancers and those participating in bidding the jobs are professional Freelancers therefore we have introduced a small amount in the shape of credits from 0.20p to 0.30p (depending upon your package you purchased) and you consume one credit for one time bidding on one project..Different packages have different number of credits and days to expire and package expires whichever is earlier for example 20 credits for 30 days means if you bid on 20 projects in a day then you purchase new package or if you do not bid on a single job even then your credits will expire in thirty days and you have to purchase new package so number of credits or days which ever expires earlier. When you signup you get bonus of 20 free credits for thirty days which will give you fair idea of your spending and earnings and we are confident that as we charge a fraction of money what others charge you in this sector so you will definitely make most of our service in economical way.

5. Feedback, Reputation and Reviews

You acknowledge that you will leave honest feedback of other user which benefits future users and poundlance to assess the capabilities of a freelancer or Employer's behaviours.

You may not do (or omit to do) anything that may undermine the integrity of the poundlance.com feedback system. We are entitled to suspend or terminate your Account at any time if we, in our sole and absolute discretion, are concerned by any feedback about you, or your feedback rating, where we believe our feedback system may be subverted.

Our system allows reading Feedback of other party when he / she has already rated you.


6.Prohibitions:

Following is strictly prohibited please. All members are strictly advised to avoid it failing which they will be banned from using our website.

1) Please make sure any project you add should be in positive interests of all users and it should not be projection or advertising of anything having no relation or of scope to our members.
2) You are not allowed to mention another company or member using our job board which may directly or indirectly effect the reputation of our users.
3)Be helpful and instead you post irrelevant replies you are requested not to post any comments of indecent nature.
4)Do not try to advertise yourself or your company by posting irrelevant job .
5) Over size posts with long examples and stories are not allowed in description and also you are not allowed to attach big files with jobs.
7) Unrelated projects like need a plumber or electrician is not our scope and should not be posted.
8) Advertising or promoting any other IT COMPANY is not allowed.
9) Any ponzi scheme, Virus, hoax, fraud or scam gambling of any nature are strictly prohibited.
10)Asking to perform any illegal service which is not permitted under data protection act or privacy policy.

7.Limitation of Liability

In no event shall we, our related entities, our affiliates or staff be liable, whether in contract, warranty, tort (including negligence), or any other form of liability, for:

  1. any indirect, special, incidental or consequential damages that may be incurred by you;
  2. any loss of income, business or profits (whether direct or indirect) that may be incurred by you;
  3. any claim, damage, or loss which may be incurred by you as a result of any of your transactions involving the Website.

The limitations on our liability to you above shall apply whether or not we, our related entities, our affiliates or staff have been advised of the possibility of such losses or damages arising.

Notwithstanding the above provisions, nothing in this User Agreement is intended to limit or exclude any liability on the part of us and our affiliates and related entities where and to the extent that applicable law prohibits such exclusion or limitation including those within the Competition and Consumer Rights Act 2015 and relevant Country fair trading legislation.

To the extent that we are able to limit the remedies available under this User Agreement, we expressly limit our liability for breach of a non-excludable condition or warranty implied by virtue of any legislation to the following remedies (the choice of which is to be at our sole discretion) to the supply of the poundlance.com services again or the payment of the cost of having the poundlance.com services supplied again.

If you are involved in a dispute, we will impose temporary limit on your account . If the dispute is resolved in your favour, we will lift the limit on your funds and will release your funds. If the dispute is not resolved in your favour, we may remove the funds from your Account. A limit on your account may be applied in circumstances where we suspect you involving in fraudulent or other unacceptable activities, while we investigate any such matter and will not lift those limits till we finalise our investrigations..

8.Escrow

a- For complete peace of mind you have an escrow account where employer can add money and assure to Freelancer that his money is in escrow and it is guaranteed money for Freelancer which will be released after completion of job.It can not be refused by employer and it can only be reversed by poundlance.com admin .In case of dispute Admin will listen to both parties and will make a fair decision and both parties may accept it or can take it further to legal body and poundlance.com will not be party to any one and nor will be involved in any such dispute and it will entirely be discretion of both parties where poundlance.com will only involve upto certain limits and give his fair decision. If not acceptable to any party then you may get independent arbitration frome legal body at your own costs and money will remain on hold in escrow till the time both parties do not reach to some agreement.


b- No money should be released till the time job assigned is not finalised by Freelancer .If released by Employer then it will be entirely at your own cost and risk and under no circumstances poundlance.com will help you to recover your money and credit it back to your account .

9.Taxes

You are responsible for paying any taxes, including any goods and services or value added taxes, which may be applicable depending on the jurisdiction of the services provided.

Depending on your residency or location, you may be subject to certain taxes (for example, VAT in UK), on certain fees that we charge. These taxes will be added to fees billed to you when we register with VAT, when applicable so for now any fees you see is fees you pay .

You acknowledge that you must comply with your obligations under income tax provisions in your jurisdiction.

10. Contents

When you give us content, you grant us a worldwide, perpetual, irrevocable, royalty-free, sublicensable (through multiple tiers) right to exercise any and all copyright, trademark, publicity, and database rights (but no other rights) you have in the content, in any media known now or in the future.

You acknowledge and agree that: (1) we act only as a forum for the online distribution and publication of User content. We make no warranty that User content is made available on the Website. We have the right (but not the obligation) to take any action deemed appropriate by us with respect to your User content; (2) we have no responsibility or liability for the deletion or failure to store any content, whether or not the content was actually made available on the Website; and (3) any and all content submitted to the Website is subject to our approval. We may reject, approve or modify your User content at our sole discretion.

You represent and warrant that your content:

  1. 1- will not infringe upon or misappropriate any copyright, patent, trademark, trade secret, or other intellectual property right or proprietary right or right of publicity or privacy of any person;
  2. 2- will not violate any law or regulation;
  3. 3- will not be defamatory or trade libellous;
  4. 4- will not be obscene or contain child pornography;
  5. 5- will not contain the development, design, manufacture or production of missiles, or nuclear, chemical or biological weapons
  6. 6- will not contain material linked to terrorist activities
  7. 7- will not include incomplete, false or inaccurate information about User or any other individual; and
  8. 8- will not contain any viruses or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information.
  9. 9- Will not contain any cross border espionage job
  10. 10- Will not contain any clandestine operation which is in breach of privacy laws of land .

You acknowledge and agree that we may transfer your personal information to a related body corporate and your information may be transferred outside of United Kingdom or the EEC-area. If you wish to withdraw your consent, you acknowledge and agree that we may be unable to provide you with access to the Website and poundlance.com Services and may close your Account.


Information on the Website may contain general information about legal, financial, health and other matters. The information is not advice, and should not be treated as such. You must not rely on the information on the Website as an alternative to professional advice. If you have specific questions about any matter you should consult your professional adviser.


We provide unmonitored access to third party content, including User feedback and articles with original content and opinions (or links to such third party content). We only act as a portal and have no liability based on, or related to, third party content on the Website, whether arising under the laws of copyright or other intellectual property, defamation, libel, privacy, obscenity, or any other legal discipline.


The Website may contain links to other third party websites. We do not control the websites to which we link from the Website. We do not endorse the content, products, services, practices, policies or performance of the websites we link to from the Website. Use of third party content, links to third party content and/or websites is at your risk.


In relation to deletion or hiding of any information or content, using the Website to delete, hide or otherwise dispose of information does not imply permanent deletion of content or information. Information may be retained for a period of time to fulfil record keeping, regulatory, compliance, statistical, law enforcement and other obligations.

11. User Activities

When Employer awards a Job to the Freelancer, and the seller or Freelancer's acceptance on the Website will be taken as willingness to proceed with the project , the Buyer and Seller will be deemed to have entered into a User Contract under which the Buyer agrees to purchase service electronically, and the Seller agrees to deliver the Seller an electronic Service as asked by employer. You agree not to enter into any contractual provisions in conflict with the User Agreement.

You are solely responsible for ensuring the best possible service as agreed in advance. If you do not, you may become liable to that User. You must ensure that you are aware of any domestic laws (including common law), international laws, statutes, ordinances and regulations relevant to you as a Service Buyer or Service Seller, called Employer and freelancer.

If another User breaches any obligation to you, you are solely responsible for enforcing any rights that you may have. For the avoidance of doubt, we have no responsibility for enforcing any rights under a User Contract.

A clear Description of Project with no ambiguity shall be posted and Freelancer is responsible to clarify before hand and proceed with the job. After acceptance if job is felt to be going in different direction with new requirements then a project may be closed mutually and a new project may be posted with fresh agreement and fees involve.

12. Refunds

You may ask for a refund at any time for any funds that you have paid into your Account except if the amount to refund relates to an under process job or relates to fees or charges payable to us.Any amount not falling in these categories will be refunded as and when you ask us to do so but it may take up to 24 hours.

If the amount the User has asked to refund relates to: (1) a under process job , the Dispute Resolution Process may be followed; or (2) our fees and charges will be deducted and money refunded.

If we agree to the refund, the funds will be received by the User via the same payment method(s) that the User used to make the original payment to us.

We may refund funds to Users irrespective of whether a User has requested funds be refunded if:

(1)we are required by law or consider that we are required by law to do so;

(2) we determine that refunding funds to the User will avoid any dispute or an increase in our costs;

(3) we refund funds to the User in accordance with any refund policy specified by us from time to time;

(4) we find out that the original payment made by the User is fraudulent;

(5) the User made a duplicate payment in error; or

(6) we consider, in our sole opinion, that it is likely that the refund of funds is necessary to avoid a credit card chargeback.

13. Full Member

We may require you to be Freelancer with full details in your profile , before you can withdraw funds from your poundlance.com account, irrespective of whether or not a delay has been enforced.

You acknowledge and agree that we may seek to verify your identity or request additional information from you as part of user security measures and you agree to provide all info required to qualify as verified member.We however expect you to visit your profile page and enter all details asked by us to avoid any delay in your refunds or withdrawals.

 

14. Cancellation Of Project.

Any party may cancel the project at any stage .

It may be done mutually and you may login and use Cancel / Dispute option and can communicate without involving Poundlance and by using this option all conversation is saved for future reference.
Try your best to reach to the best decision but in case any one of you have any objection or feels that he/she is being over burdened and thinks that requirement or scope of project has changed from initial agreement then you may go in DISPUTE at the same section and can communicate to reach to some conclusion .
Any one of you can involve Poundlance staff at any stage by using option at the bottom of same page but a charge of £5 will be applied to the user who opted for dispute resolution by Poundlance staff.


When case is escalated to dispute and Poundlance staff invited to interfere then you must respond to other party in next 72 hours otherwise Poundlance very carefully goes through the project and your conversation on dispute case page and gives his guideline and allows 72 hours time to meet those requirements where we feel it could go further positively otherwise may also cancel at this stage and will allow another 24 hours time to hear back from you.


In these 24 hours time you may decide to accept our decision or inform us that you want to get independent advise by using private arbitrator and not responding at this stage in these 24 hours time will still be a decision made against the loser party so please follow our terms of use to be on safe side and respond with time frame failing which you may suffer financial loss and we take no responsibility after the monies are released to other party.
When you decide to take it further with the arbitrator then all monies will remain frozen with us secured as escrow and we will not take any further action after that , till the time we do not hear final decision from both parties.


15. Withdrawals

Your first withdrawal of funds earned may be delayed for up to seven days for security and fraud purposes.

Subsequent withdrawals will be released in two days but where our fraud prevention policies require a delay then it may be delayed up to fifteen days.

We may impose a minimum withdrawal amount for funds earned. This is set out in our schedule of Fees and Charges . The maximum you can withdraw per month is £5,000 or equivalent in other currencies unless otherwise specifically agreed with support.

16. Chargebacks

chargeback is a transaction reversal meant to serve as a form of consumer protection from fraudulent activity committed by both merchants and individuals. It's also a demand by a credit card provider for a retailer to make good on the loss on a fraudulent or disputed transaction.

You acknowledge and agree that we will be entitled to recover any chargebacks and reversals that may be imposed on us by a payment product issuer or third parties (such as payment processors) on funds paid to you by Employer/Buyer through the Website, as well as any processing or any other fees whatsoever incurred by us on those chargebacks and reversals.

You agree that we may reverse any such payments made to you, which are subject to chargeback or reversal instruction via your payment product issuer or third parties (such as payment processors). If you initiate any chargeback request or other "Request for Information" or similar process, you expressly agree and consent to us to share any and all information in relation to your agreement of these terms and conditions, in order to defeat any such chargeback request.

17. Privacy

We use your information as described in the poundlance.com Privacy Policy . If you object to your information being transferred or used in this way then you must not use our services. For the avoidance of doubt, your name and personal details shall be used for identity purposes in the normal course of conducting business in this online marketplace. This may include on invoices and purchase orders including but not limited to between transacting parties, including those automatically generated on awarding, accepting and payment.

18. Indemnity

You will indemnify us (and our officers, directors, Freelancers, subsidiaries, joint venturers and Freelancers) against any claim or demand, including legal fees and costs, made against us by any third party due to or arising out of your breach of this Agreement, or your infringement of any law or the rights of a third party in the course of using the Website and poundlance.com Services.

In addition, we can apply any funds in your Account against any liabilities you owe to us or loss suffered by us as a result of your non-performance or breach of this User Agreement.

19. Security

You must immediately notify us upon becoming aware of any unauthorised access or any other security breach to the Website, your Account or the poundlance.com Services and do everything possible to mitigate the unauthorised access or security breach (including preserving evidence and notifying appropriate authorities). Your User Account is yours only, and you must not share your password with others. You are solely responsible for securing your password. We will not be liable for any loss or damage arising from unauthorised access of your account resulting from your failure to secure your password.

20. No User's Warranty

We cannot and do not confirm each User's purported identity on the Website. We may provide reviews or, geographical location only. However, such information is based solely on data that a User submits and we provide such information solely for the convenience of Users and the provision of such information is not an introduction, endorsement or recommendation by us. Please use each and every user entirely at your own cost and risk though we have taken due care to invite and added our users with utmost care but any breach or dispute arising between employer and Freelancer will entirely be your personal matter and we can only intervene to some extent and give our fair opinion which does not bind both parties to accept and they may proceed and take it further in court of law without involving us and you agree to accept this point.

21. Limitation of Liability

Nothing in these terms and conditions will: (a) limit or exclude our or your liability for death or personal injury resulting from negligence; (b) limit or exclude our or your liability for fraud or fraudulent misrepresentation; (c) limit any of our or your liabilities in any way that is not permitted under applicable law; or (d) exclude any of our or your liabilities that may not be excluded under applicable law.

The limitations and exclusions of liability set out in this Section and elsewhere in these terms and conditions: (a) are subject to the preceding paragraph; and (b) govern all liabilities arising under the terms and conditions or in relation to the subject matter of the terms and conditions, including liabilities arising in contract, in tort (including negligence) and for breach of statutory duty.

To the extent that the website and the information and services on the website are provided free-of-charge, we will not be liable for any loss or damage of any nature.

We will not be liable to you in respect of any losses arising out of any event or events beyond our reasonable control.

We will not be liable to you in respect of any business losses.

We will not be liable to you in respect of any loss of or damage to profits, income, revenue, or anticipated savings.

We will not be liable to you in respect of any loss of use or production.

We will not be liable to you in respect of any loss of management time or office time.

We will not be liable to you in respect of any loss of business, contracts, commercial opportunities or goodwill.

We will not be liable to you in respect of any loss or corruption of any data, database or software.

We will not be liable to you in respect of any special, indirect or consequential loss or damage.

We will not be liable to you in respect of any losses arising out of any acts or omissions of any hosting services provider, payment services provider or other third party services provider.

You accept that we have an interest in limiting the personal liability of Poundlance members and employees. Having regard to that interest, you accept that we are a limited liability entity and agree that you will not bring any claim personally against individual members or employees in respect of any losses you suffer in connection with the website or these terms and conditions. This will not, of course, limit or exclude the liability of the Poundlance itself for the acts and omissions of our members and employees.

22. Legal Limitations

These terms of use will be governed by and construed in accordance with English law, and any disputes relating to these terms of use will be subject to the exclusive jurisdiction of the courts of England and Wales.

23. Notices

Legal notices will be served or to the email address you provide to poundlance.com during the registration process. Notice will be deemed given 24 hours after email is sent, unless the sending party is notified that the email address is invalid or that the email has not been delivered. Alternatively, we may give you legal notice by mail to the address provided by you during the registration process. In such case, notice will be deemed given three days after the date of mailing.

Any notices to poundlance.com must be given by registered ordinary post (or if posted to or from a place outside United Kingdom, by registered airmail).

24. Law and Forum for Legal Disputes

This Agreement will be governed in all respects by the laws of County Court Of Manchester United Kingdom . We encourage you to try and resolve disputes using certified mediation (such as online dispute resolution processes). If a dispute cannot be resolved then you and poundlance.com irrevocably submit to the non-exclusive jurisdiction of the courts of Manchester United Kingdom.
